MOTION

Upon recommendation and opinion of William M. Wolfson, Chief Administrative and Compliance Officer/lnterim General Counsel, the Board of Directors (Board) for the Great Lakes Water Authority (GLWA), approves Amendment No. 2 to Legal Services Contract GLWA-LS-1900107 with Kopka Pinkus Dolin, PC for an additional one year period at no added compensation; and authorizes the Chief Executive Officer to take such other action as may be necessary to accomplish the intent of this vote, including the execution of Amendment No. 2 to Legal Services Contract GLWA LS-1900107 with Kopka Pinkus Dolin, PC.




JUSTIFICATION

GLWA retained Kopka Pinkus Dolin, PC to represent GLWA in the General Mill matter. The litigation is in its final stages and keeping the continuity of the legal team handling the matter is in the best interest of GLWA. This legal matter has taken longer than most but there were delays in the case due to the pandemic and the complexity of the litigation. This amendment extends the time one year with no addition to compensation. Due to the amendment extending services beyond 5 years, Board approval is required.

BUDGET IMPACT

There are sufficient funds allocated in the General Counsel's budget for the continuation of Kopka Pinkus Dolin, PC's services.

COMMITTEE REVIEW

This matter is being presented to the Legal Committee at its meeting on January 24, 2024. The Legal Committee unanimously recommended that the GLWA Board adopt the resolution as presented.
