RE: Proposed Change Order No. 1 to Expert Witness Contract with Wade Trim Associates, Inc.

MOTION

Upon recommendation of Randal Brown, General Counsel, the Legal Committee of the Board of Directors ("Board") of the Great Lakes Water Authority ("GLWA") recommends for approval to the Board, authorizing the Chief Executive Officer ("CEO") to execute Change Order No. 1 to the Expert Witness Contract with Wade Trim Associates; and authorizes the CEO to take such other action as may be necessary to accomplish the intent of this vote.
BACKGROUND
Starting January 1, 2017, GLWA contracted with Wade Trim Associates, Inc. to assist in negotiating the GLWA National Pollutant Discharge Elimination System (NPDES) Permit and related services with the MDEQ and EPA.

As of today's date, negotiations on the NPDES Permit continue. The Change Order adds $500,000.00 to not to exceed amount, which was previously set at $910,000.00. The Change Order also adds an end date for the Contract of September 30, 2019.




JUSTIFICATION
Approval of this Change Order will assist GLWA in the on-going negotiations and implementation of NPDES Permit and any related services at the request of General Counsel.

BUDGET IMPACT
The Office of the General Counsel has incorporated these costs into its budget.
COMMITTEE REVIEW
This matter was presented to the Legal Committee for a recommendation for approval to the Board. The Legal Committee unanimously recommended approval to the Board of Directors, contingent upon receiving certain follow-up information that was requested.
