MOTION
Upon recommendation and opinion of Phyllis Hurks, General Counsel, the Board of Directors (Board) for the Great Lakes Water Authority (GLWA): (1) approves Amendment No. 3 to Legal Services Contract LS-2302751 with Zausmer, P.C., for an additional four hundred fifty thousand dollars ($450,000.00), for a total contract amount not to exceed one million, six hundred fifty thousand Dollars ($1,650,000), and a term ending June 30, 2027; and (2) authorizes the Chief Executive Officer to take such other action as may be necessary to accomplish the intent of this vote, including the execution of Amendment No. 3 to Legal Services Contract LS-230271 with Zausmer, P.C.
JUSTIFICATION
GLWA retained Zausmer, P.C. as Legal Counsel for GLWA in the Baby Creek Chlorine Tank Line Issue matter. This amendment would extend the time through June 30, 2027. Due to the amount of the contract, Board approval is required.
BUDGET IMPACT
There are sufficient funds allocated in the General Counsel’s budget for the continuation of Zausmer, PC’s services.

This matter is being presented to the Legal Committee at its meeting on May 28, 2026.
SHARED SERVICES IMPACT
This request does not impact the Shared Services Agreement between GLWA and DWSD.
