RE: First Amendment to Lease between GLWA and T-MOBILE USA TOWER LLC by and through CCTMO LLC for a portion of land within the Adams Road Pump Station. The new term of the extended lease will be July 21, 2029, to July 20, 2059.
MOTION
Upon recommendation and opinion of Phyllis Hurks, General Counsel, the Board of Directors (Board) for the Great Lakes Water Authority (GLWA) (1) approves and authorizes:
a) the execution of a first lease amendment between GLWA and T-MOBILE USA TOWER LLC, by and through CCTMO LLC, for a portion of land within the Adams Road Pump Station for an additional period of thirty years ending July 20,2059;
b) payment of a base rent at $40,000 per year, with 3% yearly increases for the life of the lease;
c) a one-time $10,000 payment to GLWA upon execution of the first amendment and 50% of the rental, license or similar payments actually received by T-Mobile from future subtenants; and
(2) authorizes the Chief Executive Officer to take such other action as may be necessary to accomplish the intent of this vote.
BACKGROUND
The City of Detroit, by and through the Detroit Water and Sewage Department (“DWSD”), and Omnipoint Communications Midwest Operations LLC (“Omnipoint”) entered into a Lease Agreement dated August 4, 1999(“LA-1535”), whereby leased to Omnipoint a portion of land located at 6201 Adams Road, Bloomfield Hills, Oakland County, State of Michigan owned by DWSD to construct and operate a telecommunications tower. GLWA is the successor in interest to landlord DWSD. T-Mobile Usa Tower LLC (“T-Mobile”) is the successor in interest to tenant Omnipoint. The term of the original lease, with extensions, is set to expire on July 20, 2029. T-Mobile, by and thorough its agent and attorney-in-fact CCTMO LLC (“Crown Castle”), is requesting an early amendment and extension to the lease in order to be able to market it aggressively to other possible sublessors for space on the telecommunications tower. There is available space on the tower due to the merger of T-Mobile and Sprint. Including the optional renewal periods, the proposed first amendment to the lease extends the expiration date until July 20, 2059. The new term of the extended lease will be July 21, 2029, to July 20, 2059.
JUSTIFICATION
The current lease amendment expires on July 20, 2029, and GLWA is amending the lease to increase the period for which GLWA receives revenue for the portion of the land and to allow T-Mobile to stay in possession and operate and maintain a telecommunications tower on the portion. Board approval is required because it involves the lease of real property.
BUDGET IMPACT
The original lease and proposed first amendment provide revenue to GLWA. The proposed first amendment sets base rent at $40,000 per year, with yearly 3% increases for the life of the lease. Additionally, the lease includes additional payment(s) as follows: (1) a one-time $10,000 payment to GLWA upon execution of the first amendment; and (2) 50% of the rental, license or similar payments received by T-Mobile from future subtenants. The lease amendment, July 21, 2029, to July 20, 2059, will provide approximately $2,150,110.00 (Two million, one hundred and fifty thousand, one hundred and ten dollars) in revenue.

This request does not impact the Shared Services Agreement between GLWA and DWSD.
