RE: Proposed Agreement Regarding Wastewater Disposal Services Contract with Southeast Macomb Sanitary District
MOTION
Upon recommendation of William Wolfson, Chief Administrative and Compliance Officer/ Interim General Counsel, the Board of Directors (“Board”) of the Great Lakes Water Authority (“GLWA”), authorizes the Chief Executive Officer (“CEO”) to execute the Wastewater Disposal Services Contract with the Southeast Macomb Sanitary District; and authorizes the CEO to take such other action as may be necessary to accomplish the intent of this vote.
BACKGROUND
On 9/27/2023, the Southeast Macomb Sanitary District (“SEMSD”) Board agreed to the terms of the GLWA model Wastewater Disposal Services Contract (“Contract”). In general, this Contract contains the same terms and conditions as those model contracts executed with other member partners between 2014-2015 including Allen Park, Center Line, Dearborn, Farmington, Grosse Pointe, Grosse Pointe Park, Hamtramck, Harper Woods, Melvindale, and Redford Township. In addition, the SEMSD Contract adds an Addendum to Exhibit E, which details the current SHARES and methodology associated with the same.
JUSTIFICATION
Approval of this Contract provides a mutually beneficial, stable, long-term framework for interactions between GLWA and SEMSD and incorporates contract terms and conditions that better reflect the current obligations of the parties.
BUDGET IMPACT
There is no budget impact.
COMMITTEE REVIEW
This matter is being presented to the Legal Committee for consideration at its meeting on October 25, 2023. The Legal Committee unanimously recommended that the GLWA Board adopt the resolution as presented.
SHARED SERVICES IMPACT
This matter does not impact the shared services agreement between GLWA and DWSD.
