MOTION
Upon recommendation of William M. Wolfson, Chief Administrative and Compliance Officer, the Board of Directors (Board) of the Great Lakes Water Authority (GLWA), ratifies and approves the CEO’s execution of the following items that were recommended for approval by the Board’s Operations and Resources (O&R) Committee at its April 8, 2020 meeting:
1. 2020-095 Contract No. 1904332, “Commercial Janitorial Services.” (O&R April 8, 2020 Agenda, 7,A.)
2. 2020-097 Proposed Change Order No. 2, GLWA-CON-158 (2000121) “Specialized Services Contract.” (O&R April 8, 2020 Agenda, 7,C.)
3. 2020-098 Proposed Change Order No. 1, Contract No. 1802775 “Park-Merriman Road 24-Inch Water Main.” CIP #122011. (O&R April 8, 2020 Agenda, 7,D.)
4. 2020-100 Proposed Change Order 2, GLWA-CON-250 (2000451) “Pumping Station No.1 Rack & Grit and MPI 1 & Jefferson Sampling Stations Improvements.” CIP #211004. (O&R April 8, 2020 Agenda, 7,E.)
5. 2020-111 Proposed Change Order No. 1,GLWA-1802410 “Rehabilitation of Various Sampling Sites & PS2 Ferric Chloride System.” CIP #216004. (O&R April 8, 2020 Agenda, 7,F.)
6. 2020-117 Proposed Change Order No. 3, GLWA CS-010 “Water Residential Assistance Program.” (O&R April 8, 2020 Agenda, 7,G.); and
authorizes the CEO to take such other action as may be necessary to accomplish the intent of this vote.
BACKGROUND
The world is in a state of emergency due to the COVID-19 pandemic. On March 18, 2020, Governor Gretchen Whitmer issued Executive Order No. 2020-15, allowing remote participation in public meetings and hearings for public bodies subject to the Open Meetings Act during the COVID-19 pandemic. This Order allows public meetings of public bodies subject to the Open Meetings Act to be held electronically, including by two-way telephonic conference.
Subsequently, Governor Whitmer issued Stay Home/ Stay Safe Orders which currently run through April 30, 2020.
As a part of its response to this emergency, at its March 20, 2020, meeting, the Board adopted resolution 2020-114 which authorized the Chief Executive Officer (CEO):
To approve non-emergency procurements in excess of one million dollars ($1,000,000.00), provided that before approving any such non-emergency procurement in excess of $1 million dollars ($1,000,000.00), the CEO shall notify the Board of the proposed procurement, shall review the proposed procurement with the Board’s Operations and Resources Committee, and shall present the procurement to the Board for ratification at the first available opportunity following the CEO’s approval.
The O&R Committee met on April 8, 2020 and recommended eight (8) items for approval by the Board. The CEO has executed six (6) of those eight (8) items which are delineated in the Motion, above. Today’s meeting is the Board’s first opportunity to ratify the CEO’s action.
JUSTIFICATION
Approval of this item is consistent with the provisions of Resolution 2020-114.
BUDGET IMPACT
Approval of this item does not impact GLWA’s budget.
COMMITTEE REVIEW
This resolution is being presented directly to the Board. However, the items one through five (1 - 5) within this Resolution were recommended for approval by the Board’s O&R Committee. Item six (6) was recommended for approval by the Board’s O&R and Audit Committees.
SHARED SERVICES IMPACT
This item does not impact the shared services agreement between GLWA and DWSD.
