MOTION
Upon recommendation and opinion of Randal M. Brown, General Counsel, the Board of Directors (Board) for the Great Lakes Water Authority (GLWA):
(1) Approves Amendment No. 4 to Legal Services Contract GLWA-LS-1802659 with Jackson Lewis, P.C.; and
(2) Authorizes the Chief Executive Officer to take such other action as may be necessary to accomplish the intent of this vote, including the execution of Amendment No. 4 to Legal Services Contract GLWA-LS-1802659.
JUSTIFICATION
GLWA retained Jackson Lewis, P.C. to litigate matters related to allegations from Darryl Smith. Recently, GLWA secured a dismissal of Mr. Smith’s complaint, however, Mr. Smith intends to appeal the decision. Jackson Lewis, P.C.’s assistance is needed to continue to represent GLWA in this matter. This amendment extends the time only until March 31, 2025.
BUDGET IMPACT
There are sufficient funds allocated in the General Counsel’s budget for the continuation of Jackson Lewis, P.C.’s services.
COMMITTEE REVIEW
This matter was presented to the Legal Committee at its meeting on February 22, 2023. The Legal Committee unanimously recommended that the GLWA Board adopt the resolution as presented.
SHARED SERVICES IMPACT
This request does not impact the Shared Services Agreement between GLWA and DWSD.
